Acceptance of Terms

By accessing and using MoriLoop's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

Service Description

MoriLoop operates as a marketplace and subscription service for eco-friendly home and personal products, featuring a reusable container system with neighborhood pickup and return services throughout Japan.

Our services include product sales, refill subscriptions, container deposit management, environmental impact tracking, and B2B supply solutions for businesses.

Account Registration and Responsibilities

To access certain features of our service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Container Deposit System

Our reusable container system requires a refundable deposit for each container. Deposits are fully refundable upon return of containers in good condition within the specified timeframe.

You are responsible for the care and timely return of containers. Damaged, lost, or unreturned containers may result in forfeiture of the deposit amount.

Subscription Services

Subscription services automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting customer service.

Subscription fees are charged in advance and are non-refundable except as required by applicable law or as specified in our refund policy.

Payment Terms

Payment is due at the time of purchase or subscription renewal. We accept various payment methods as displayed during checkout. All prices are in Japanese Yen unless otherwise specified.

You authorize us to charge your chosen payment method for all fees and charges incurred in connection with your use of our services.

Delivery and Pickup Services

We provide delivery to designated neighborhood pickup locations throughout our service areas. Delivery times are estimates and may vary due to factors beyond our control.

You are responsible for retrieving your orders from pickup locations within the specified timeframe. Uncollected orders may be subject to additional fees or cancellation.

Product Quality and Returns

We work with vetted suppliers to ensure product quality, but we cannot guarantee that products will meet your specific requirements. Products are sold "as is" unless otherwise specified.

Returns and refunds are handled according to our return policy, which may vary by product type and supplier terms.

Prohibited Uses

You may not use our services for any unlawful purpose or to solicit others to perform unlawful acts. You may not violate any local, state, national, or international law or regulation.

You may not transmit any worms, viruses, or any code of a destructive nature, or attempt to gain unauthorized access to our systems or networks.

Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of MoriLoop and its licensors. The service is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our service without prior written consent.

Limitation of Liability

In no event shall MoriLoop, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

Our total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you to MoriLoop in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless MoriLoop and its licensee and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees).

This indemnification applies to claims resulting from your use of and access to the service, your violation of any term of these Terms, or your violation of any third party right.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever including breach of the Terms.

Upon termination, your right to use the service will cease immediately. If you wish to terminate your account, you may simply discontinue using the service.

Governing Law

These Terms shall be interpreted and governed by the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Japan.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms.
